Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites, applications, and services operated by BizChain Viet Nam Company Limited (“BizChain”, “we”, “us”, or “our”), including our corporate website (bizchain.vn), flagship products such as Vietcotuong and Karace, and any related professional services.

By creating an account, accessing, or using any BizChain service, you agree to these Terms. If you do not agree, do not use our services.

These Terms apply to:

• SaaS platforms published by BizChain, including Vietcotuong and Karace, whether accessed via web, mobile, or API.
• Free and paid tiers of those platforms, including subscriptions, in-app purchases, and digital content.
• Professional services offered by BizChain, including custom web development, software publishing, and technology consulting.
• This website (bizchain.vn) and any other BizChain-operated properties that link to these Terms.

Product-specific rules (such as tournament regulations or API usage limits) may supplement these Terms. If there is a conflict, the product-specific rule applies only to that product.

3. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use our services. If you are under 18, you represent that you have permission from a parent or legal guardian.

You may not use our services if you are barred from doing so under applicable law or if we have previously suspended or terminated your account.

4. Accounts

You are responsible for:

• Providing accurate registration information and keeping it up to date.
• Maintaining the confidentiality of your credentials.
• All activity that occurs under your account.

Notify us promptly at legal@bizchain.vn if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, our Acceptable Use Policy, or applicable law.

5. Free and Paid Services

5.1 Free accounts

All BizChain SaaS products offer a free tier or free access to core functionality. You may use free accounts without payment, subject to usage limits described on each product.

5.2 Paid subscriptions and purchases

Paid plans, premium features, and digital content are billed as described at the point of purchase. By subscribing or purchasing, you authorize BizChain and our payment processors (currently Stripe and SePay) to charge your selected payment method on a recurring or one-time basis, as applicable.

Prices are shown in the currency indicated at checkout and may change with reasonable notice. Tax may apply where required by law.

5.3 Billing and cancellation

Billing, renewal, and cancellation are governed by our Billing & Cancellation Policy. We do not offer refunds on paid subscriptions or purchases because every service provides a free account and, where applicable, preview access to paid content before purchase.

6. License and Intellectual Property

6.1 Our content

BizChain and its licensors own all rights in our software, websites, branding, documentation, and content, except for user content you provide.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for personal or internal business purposes, in accordance with these Terms and the applicable plan.

6.2 Your content

You retain ownership of content you submit, upload, or create through our services (“User Content”). You grant BizChain a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute User Content solely as needed to operate, improve, and promote the services.

You represent that you have the rights to submit User Content and that it does not violate law or third-party rights.

7. Prohibited Conduct

You agree not to:

• Violate our Acceptable Use Policy.
• Cheat, exploit bugs, use bots, or interfere with fair play or system integrity.
• Reverse engineer, scrape, or overload our systems except as permitted by law.
• Impersonate others or misrepresent your affiliation.
• Upload malware or attempt unauthorized access.

We may investigate violations and cooperate with law enforcement where appropriate.

8. Third-Party Services

Our services may integrate with third parties (e.g., Stripe and SePay for payments, Cloudflare for security). Your use of those services may be subject to their terms. BizChain is not responsible for third-party services outside our reasonable control.

9. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, error-free, or secure operation. Online gaming, real-time features, and cloud services may be affected by maintenance, network conditions, or factors beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZCHAIN AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO BIZCHAIN IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100 (or equivalent in local currency).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless BizChain from claims, damages, and expenses (including reasonable legal fees) arising from your use of the services, your User Content, or your violation of these Terms or applicable law.

12. Termination

You may stop using our services at any time. You may cancel paid subscriptions as described in our Billing & Cancellation Policy.

We may suspend or terminate access immediately if you breach these Terms, pose a security risk, or if required by law. Upon termination, your right to use the services ends. Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised version on bizchain.vn with an updated effective date. Material changes will be communicated through the service or by email where appropriate. Continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the competent courts in Ho Chi Minh City, Vietnam, unless mandatory consumer protection law in your country requires otherwise.

15. Language

These Terms are published in English and Vietnamese. If there is any inconsistency between versions, the Vietnamese version prevails for users in Vietnam; the English version prevails for international users, unless applicable law requires otherwise.
