• Professional services provided by BizChain to enterprise and business clients, including custom web development, software engineering, architecture consulting (SSR, PWA, WASM), and cloud infrastructure management.
• Inquiries, proposals, and communications submitted through our contact forms, email addresses, or official representative channels.

3. Client Projects & Third-Party Applications Disclaimer (Chasoft Labs)

Applications and digital platforms showcased in our portfolio or on our website—including Vietcotuong, Karace, and Family Tree Studio—are proprietary software products researched, developed, owned, and operated independently by Chasoft Labs (a private TechLab).

• Independent Consulting Contractor: BizChain Viet Nam Company Limited acts strictly as an external technical consulting contractor and software development service provider for Chasoft Labs. BizChain is not the owner, publisher, operator, or service provider of these applications.
• No Operational or Legal Responsibility: BizChain does not administer end-user accounts, process consumer payments or subscriptions, store gameplay/family-tree records, or manage community moderation for these applications. BizChain disclaims all legal, operational, and regulatory liability for these third-party products.
• Independent Terms & Policies: Your access to and use of Vietcotuong, Karace, Family Tree Studio, or any other platform owned by Chasoft Labs is governed exclusively by the terms of service, privacy policies, and community guidelines published by Chasoft Labs on each respective platform.

4. Eligibility

You must be at least 18 years old (or have reached the age of majority in your jurisdiction) to enter into commercial agreements or request professional services from BizChain. If you represent an organization or company, you warrant that you have full legal authority to bind that entity to these Terms.

5. Professional Engagements & Invoicing

5.1 Consulting & Engineering Contracts

Professional engineering, custom web development, and technical consulting are delivered pursuant to executed proposals, Statements of Work (SOW), or written service agreements. Where a signed contract conflicts with these general website terms, the terms of the signed contract control.

5.2 Invoicing and Payments

Payments for BizChain professional consulting services are invoiced in accordance with agreed milestones or retainers, payable via official corporate bank transfer or authorized corporate payment channels as detailed in our Billing & Payment Policy.

6. License and Intellectual Property

6.1 BizChain Intellectual Property

BizChain and its licensors own all rights, title, and interest in and to bizchain.vn, our branding, corporate trademarks, proprietary methodologies, documentation, and website content, except for client materials or third-party open-source components.

6.2 Client & Third-Party IP

All trademarks, logos, service marks, and proprietary applications of clients (including Chasoft Labs, Vietcotuong, Karace, and Family Tree Studio) remain the exclusive property of their respective owners. Showcase on bizchain.vn is for engineering portfolio demonstration only.

7. Prohibited Conduct

When accessing bizchain.vn or utilizing our communication channels, you agree not to:

• Violate our Acceptable Use Policy.
• Attempt to breach, probe, or scan our security infrastructure or servers without written authorization.
• Submit false, malicious, deceptive, or defamatory inquiries through our forms.
• Reverse engineer, scrape, or harvest corporate data except as permitted by applicable law.
• Impersonate BizChain personnel, partners, or clients.

Our website may link to third-party websites or services (including client applications like vietcotuong.com, karace.me, and familytree.studio, or third-party infrastructure providers like Cloudflare). BizChain is not responsible for the content, privacy practices, or availability of third-party platforms.

BIZCHAIN’S WEBSITES AND INFORMATIONAL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. BIZCHAIN EXPRESSLY DISCLAIMS ANY WARRANTY OR LIABILITY CONCERNING THIRD-PARTY CLIENT APPLICATIONS SHOWCASED ON OUR SITES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZCHAIN AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF BIZCHAIN.VN OR CLIENT APPLICATIONS.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF BIZCHAIN.VN IS LIMITED TO USD $100 (OR EQUIVALENT IN LOCAL CURRENCY), UNLESS A SPECIFIC SIGNED COMMERCIAL CONTRACT SPECIFIES OTHERWISE.

11. Indemnification

You agree to indemnify and hold harmless BizChain, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your breach of these Terms, unlawful conduct, or infringement of any third-party rights.

12. Changes to These Terms

13. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Ho Chi Minh City, Vietnam.

These Terms are published in English and Vietnamese. If there is any inconsistency between versions, the Vietnamese version prevails for users and entities in Vietnam; the English version prevails for international matters, unless applicable law requires otherwise.
